Lokai Living provides professional computer systems design and related services within the Professional, Scientific, and Technical Services sector, including Computer Systems Architecture and Design, Software and Platform Engineering, Cloud Infrastructure and DevOps Services, Cybersecurity and Compliance Services, Data Systems and Analytics, and Information Technology Consulting and Strategy. All professional services engagements are governed by a separate written agreement or statement of work executed between Lokai Living and the client. We reserve the right to modify, enhance, suspend, or discontinue any aspect of our services with reasonable advance notice.

Overdue payments accrue interest at one and one-half percent per month. All fees are exclusive of applicable taxes. We reserve the right to suspend services for non-payment after reasonable written notice.
Each party agrees to hold the other's Confidential Information in strict confidence, to use it exclusively for engagement purposes, and to disclose it only to those with a genuine need to know who are bound by written confidentiality obligations. These obligations survive termination for five years, or indefinitely for trade secrets.
To the fullest extent permitted by law, Lokai Living and Lokai Life LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages including loss of profits, revenue, business, or data, arising out of these Terms or the provision of our services. Our total aggregate liability shall not exceed fees paid for the specific services giving rise to the claim during the prior twelve months.
You agree to defend, indemnify, and hold harmless Lokai Living, Lokai Life LLC, and their respective officers, directors, and employees from any claims, liabilities, damages, and expenses arising out of your violation of these Terms, your use of our website or services, or your violation of any law or third-party right.
Website content is provided as is without warranties of any kind. To the fullest extent permitted by law, we disclaim all warranties including merchantability and fitness for a particular purpose. For professional services, we warrant they will be performed in a professional and workmanlike manner consistent with industry standards.

These Terms shall be governed by the laws of the State of Utah and applicable United States federal law. You agree that proceedings shall be conducted on an individual basis and not as a class action.
Neither party shall be liable for failure or delay caused by circumstances beyond reasonable control, including acts of God, natural disasters, war, terrorism, epidemic, labor strikes, governmental action, or utility failures.
These Terms, together with our Privacy Policy and any applicable service agreement, constitute the complete agreement between you and Lokai Living. If any provision is held invalid, the remaining provisions continue in full force. You may not assign your rights without our prior written consent. Nothing herein creates a partnership, joint venture, or agency relationship.
